Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Specced website, application, and related services (collectively, the “Services”) operated by Specced (“Specced,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 13 years old, or the age of majority in your jurisdiction, to use the Services unless a parent or legal guardian has consented and applicable law allows such use.

By using the Services, you represent and warrant that:

• you are legally able to enter into these Terms

• the information you provide is accurate and current

• you will use the Services only in compliance with applicable law

The Services

Specced provides a digital workspace for documenting, organizing, and optionally sharing vehicle-related information, including but not limited to vehicle profiles, maintenance records, modifications, parts, costs, photos, notes, and related content.

We may update, improve, modify, suspend, or discontinue any part of the Services at any time, with or without notice, to the extent permitted by law.

Accounts

You may need to create an account to use certain features.

You are responsible for:

• maintaining the confidentiality of your login credentials

• all activity that occurs under your account

• promptly notifying us if you believe your account has been compromised

You may not:

• share your account with others

• impersonate another person or entity

• create an account using false or misleading information

• attempt to access accounts, data, or systems you are not authorized to access

We reserve the right to suspend or terminate accounts that violate these Terms.

User Content

“User Content” means any information, text, data, photos, videos, vehicle details, build records, part information, notes, receipts, links, profile content, comments, or other materials you upload, submit, store, post, or otherwise make available through the Services.

You retain ownership of your User Content.

By submitting User Content to Specced, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, display, and transmit that content only as needed to operate, provide, improve, and promote the Services.

This license is limited to the purpose of running and improving Specced and does not transfer ownership of your User Content to us.

You represent and warrant that:

• you own your User Content or have all rights needed to provide it

• your User Content does not violate the rights of any third party

• your User Content does not violate any law or these Terms

Sharing and Visibility

Specced may allow you to keep content private or share content with others, including through public profiles, vehicle pages, or discovery features.

You are responsible for the visibility settings you choose.

If you make content public or share it with others, you understand that:

• other users may view it

• it may be copied, reposted, or shared by others

• it may appear in search engines or outside the Services if publicly accessible

We are not responsible for how others use content you choose to make public.

Acceptable Use

You agree not to use the Services to:

• violate any law or regulation

• infringe intellectual property, privacy, publicity, or other rights

• upload false, misleading, fraudulent, or defamatory content

• harass, threaten, abuse, or harm others

• upload malicious code, viruses, or harmful files

• interfere with the security, integrity, or operation of the Services

• scrape, crawl, reverse engineer, or attempt to access non-public parts of the Services except as permitted by law

• use the Services to send spam or unauthorized promotions

• upload content that is obscene, hateful, discriminatory, or otherwise unlawful

• use the Services in a way that could damage, disable, or overburden our systems

We may investigate and take action against violations, including removing content, suspending accounts, or terminating access.

Vehicle and Technical Information Disclaimer

Specced is an organizational and documentation tool only.

The Services do not provide mechanical, engineering, legal, financial, or safety advice. Any vehicle-related information, notes, records, summaries, or other content made available through the Services is for general informational and documentation purposes only.

You are solely responsible for:

• verifying any maintenance, parts, compatibility, or modification information

• making your own decisions about vehicle work, purchases, repairs, and operation

• ensuring your vehicle complies with applicable safety, emissions, and legal requirements

Use of vehicle information within Specced is at your own risk.

Payments and Subscriptions

If Specced offers paid plans, subscriptions, or other paid features:

• fees will be disclosed at the time of purchase

• you agree to pay all applicable charges and taxes

• recurring subscriptions will renew automatically unless canceled before the renewal date, where permitted by law

• payments may be processed by third-party payment processors

• except where required by law, fees are non-refundable once paid

We may change pricing or subscription features with reasonable notice. Changes will not affect a current paid term already purchased unless otherwise stated at the time of purchase.

Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services, with or without notice, if:

• you violate these Terms

• we reasonably believe your use creates risk for us, other users, or the Services

• required by law

• we discontinue the Services

Upon termination, your right to use the Services will end immediately. Certain provisions of these Terms will survive termination, including ownership, disclaimers, limitation of liability, indemnity, and dispute-related provisions.

Intellectual Property

The Services, including the Specced name, branding, design, software, interface, text, graphics, logos, and other materials provided by us, are owned by or licensed to Specced and are protected by intellectual property and other laws.

Except as expressly permitted in writing, you may not copy, modify, distribute, sell, license, or create derivative works from the Services or our content.

Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant Specced a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback without compensation or restriction.

Third-Party Services and Links

The Services may contain links to third-party websites, products, or services, or integrate with third-party providers such as payment processors, authentication tools, analytics services, or hosting providers.

We do not control and are not responsible for third-party services or content. Your use of third-party services is governed by their own terms and policies.

Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and disclose information.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECCED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE

• ANY CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE

• ANY DEFECTS WILL BE CORRECTED

• THE SERVICES WILL ALWAYS BE AVAILABLE

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECCED AND ITS FOUNDERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECCED’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO SPECCED IN THE 12 MONTHS BEFORE THE CLAIM, OR

• $100 USD

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Specced and its founders, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the Services

• your User Content

• your violation of these Terms

• your violation of any law or third-party rights

Copyright and Content Complaints

If you believe content on the Services infringes your copyright or other rights, contact us at contact@specced.club with sufficient detail for us to investigate.

We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.

Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to conflict of laws principles, except where applicable law requires otherwise.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Kansas, and you consent to their exclusive jurisdiction and venue, unless applicable law requires otherwise.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms, updating the “Last updated” date, or providing additional notice where appropriate.

Your continued use of the Services after updated Terms become effective means you agree to the revised Terms.
